Can You Sue Somebody Even If You Signed a Contract Saying You Will Not Sue Them?

In most commercial disputes, the starting point is simple: what did the parties agree to, and what does the contract say happens next? UAE mainland courts generally treat written agreements as binding and will usually hold parties to the bargain they agreed to.

That approach reflects a core principle in UAE law: contracts have binding force (often summarised as “the contract is the private law of the parties”). Parties are thereforenexpected to perform their obligations and cannot usually rewrite the deal unilaterally.

Nevertheless contractual freedom has its limits. Party autonomy operates within the boundaries of mandatory law and public order. So even clear waiver clause may not be enforced in every scenario, particularly where enforcement would conflict with mandatory rules or enable unlawful or abusive outcomes.

Do You Need a Waiver Clause?

Yes, a well-drafted waiver clause may:


•demonstrate that the parties intended to limit certain remedies,

•help frame how risk is allocated, and

•in some cases, reduce or exclude specific categories of claims.

However, it is rarely a magic shield that would prevent either party from commencing a judicial proceeding. Courts commonly focus on substance: what the parties actually agreed, what happened in performance, and whether the waiver should be given effect given the facts and applicable law.

If your goal is to reduce the likelihood of a judicial proceeding, a generic “no-sue” provision is often less effective than:

•A clear escalation process (notice, negotiation period, mediation, appointment of a third party mediator),

•A precise settlement-style release of identified claims (with consideration), and

•A properly drafted dispute resolution provision,

•A limitation of liability provision.

Conclusion

A party may still commence UAE legal proceedings even if their contract contains a waiver provision. Such provisions can sometimes influence the court’s approach, but they rarely provide automatic immunity, especially where enforcement would conflict with mandatory rules or enable unlawful or abusive outcomes.

The analysis may differ depending on whether the dispute is before mainland UAE courts (civil law framework) or the DIFC/ADGM (common law regimes).
