STEPS TO INCORPORATE A PRIVATE LIMITED COMPANY:

a) 1+5 Names, indicative of the main objects of the company.
b) Apply to ROC availability of name in “eForm1A” by logging in to the MCA portal. A fee of Rs. 1,000/- has to be paid alongside and the digital signature of the applicant proposing the company has to be attached in the form. If proposed name is not available, the user has to re-apply for a fresh name on the same application.

... After the name approval the applicant can apply for registration of the new company by filing the required forms (Form 1, Form 18 and Form 32) within 60 days of name approval granted.
d) Drafting of the Memorandum and Articles (By-Laws) of Association.
e) vetting of MOA & AOA by the ROC then it’s printing.
f) Stamping of MOA & AOA.
g) MOA & AOA to be signed by at least two subscribers in his own hand, his/her father's name, occupation, address and the number of shares subscribed for and witnessed.
h) File the following forms and attach the mandatory documents listed in the eForm:
1) Declaration of compliance - Form-1.
2) Notice of situation of registered office of the company - Form-18.
3) Particulars of the Director's, Manager or Secretary - Form-32.

[Submit these eForms signed digitally, pay the requisite filing and registration fees and send the physical copy of Memorandum and Article of Association to the ROC.]

i) After processing of the Form is complete and Corporate Identity is generated obtain Certificate of Incorporation from RoC.

DOCUMENTS/ INPUT REQUIRED FOR REGISTRATION OF A NEW LIMITED COMPANY

1) PAN Card of proposed directors (self attested).
2) Proof of Address of Directors (Latest Bank Statement or Telephone Bill within a period of 2 months/ Driving License/Passport/ Voter identity Card etc), self attested.
3) Qualification of the proposed directors.
4) Passport size photograph of the proposed directors.
5) Proposed 1+5 name for the proposed company.
6) Description about the main object of the company.
7) The Affidavit from the directors in non-judicial stamp paper worth Rs 10/- duly notarized.
8) The complete registered address of the company, if :
- owned by a directors(NOC from director along with the consumption bill, like electricity bill,telephone bill,etc)
- owned by a person other than director (rent agreement, NOC along with consumption bill, like electricity bill,telephone bill,etc from owner).
9) Name & Address of Nearest Police Station to the registered address the proposed company.
