You can help a client explore an unfamiliar opportunity without becoming its expert, its data courier or its decision-maker. Four checks keep an introduction ethical.

KEY TAKEAWAYS
• Clear four checks before introducing: permitted, disclosed, authorized contact and no files.
• Do not become the client's data intake channel. You never need a copy of their archive.
• Keep your view of the opportunity separate from your interest in any referral reward.

An adviser does not need to be an expert in every opportunity a client comes across. Sometimes the most useful contribution is spotting relevance, framing the right questions and making a permitted introduction, then stepping back.

AI data licensing is a good test of consultant client referral ethics. An established client may have years of operating records worth assessing. You can help them understand the route without taking on authority over the records or the commercial decision.

Is it ethical for a consultant to accept a referral fee?
It can be, when your professional rules and engagement terms allow it, the client ...
... knows about it before deciding and the reward does not change your advice. Many professions restrict or require disclosure of third-party compensation. Some prohibit it in certain engagements. Check your rules first.

The four-check decision path
Run these in order. Each one is a gate.
BEFORE YOU INTRODUCE A CLIENT
1. Permitted: your professional standards, engagement letter, employer and the client's procurement rules allow it.
2. Disclosed: the client knows, in writing, that you may receive a reward and that it is paid separately.
3. Authorized: you are introducing the person who can actually decide for the company.
4. No files: you hold no client records for this purpose and will not request any.

If any check fails, you can still mention the public information. Do not make a referral.

Recognise the possible fit

A relevant client might have years of documented workflows and a leader willing to explore. SourceX's first checks are size (at least 50 full-time employees at peak), several years of history, a supported location and the rights to license the records.
That observation supports a conversation. It does not establish a valuation, guarantee acceptance or prove the client holds the necessary rights.

How to raise it with the client

Keep the first mention short and neutral, so the client can weigh it without feeling sold to:
EXAMPLE · WHAT TO SAY

"Something came up that may be relevant to you. SourceX licenses approved business records from established companies for AI training. Your service history might be the kind of thing they look at, though only your team can judge that. In fairness, I'm a SourceX referral partner, so I could receive a reward if a deal completes. It's paid separately and wouldn't reduce what your company receives. Want the public overview, or should I leave it?"

Avoid inheriting the data-transfer problem
You do not need a copy of a client archive to make an introduction. Do not request customer files, internal screenshots or system access as evidence of eligibility, even if you already have access through your engagement. Access for one purpose is not permission for another.
The company manages its own assessment, involves the right reviewers and decides whether any later sharing is authorized.

Prepare the client for the real questions
A good discussion covers the workflow, where the material came from, its restrictions, preparation effort and the proposed agreement. Duration, acceptance conditions and post-closing rights deserve as much attention as compensation.
If a question falls outside your competence or engagement, name it and point to the right reviewer. A clear boundary helps the client more than a confident answer drawn from a marketing headline.

Follow the referral process exactly
SourceX requires an approved partner account and a signed agreement before introductions. Attribution, existing relationships and qualifying transaction conditions determine reward eligibility. An initial call or a signed company agreement does not earn a payment by itself.
The official terms and your signed agreement govern the arrangement. Keep them separate from your professional view of whether the client should explore the opportunity.

An adviser adds value by making a decision clearer. Sometimes that leads to a deal. Sometimes it leads to a well-founded no. Both outcomes strengthen the relationship when the client stays informed and in control.

Frequently asked questions

Do I have to tell my client about a referral fee?
Yes. Disclose it before the client decides whether to engage, and in writing where your profession expects it. Under SourceX's public program, the reward does not reduce the client's compensation.

Can accountants or lawyers make referrals like this?
That depends on the profession's rules and jurisdiction. Many have specific restrictions on third-party compensation. Check yours before applying to any referral program.

What if I already have access to the client's data?
Do not use it to pre-qualify or prepare samples. Access granted for your engagement does not authorize external use.

What is a reasonable referral fee for consultants?
There is no standard rate; fees vary by industry and arrangement, and some professions prohibit them. SourceX's standard public reward is 25% of the compensation it actually pays the referred company, capped at $100,000 per company, subject to all program conditions.
Advising a company that may fit?

SourceX's standard public referral program pays 25% of the compensation SourceX actually pays the referred company (excluding separately itemized taxes and reimbursements), capped at $100,000 cumulatively per company. As arithmetic only, not a forecast: a $100,000 supplier payout would correspond to a $25,000 reward, and the cap is reached at $400,000. Partners need an approved account and a signed agreement before making any introduction; good practice is also to get the company's permission first and disclose the potential reward. A lead, a meeting or the company's signed agreement with SourceX alone earns nothing; a reward depends on a completed transaction, buyer acceptance, cleared payment and the other conditions in the current terms. Existing relationships and duplicate introductions may be excluded. The reward is paid separately and does not reduce the company's compensation.
